1. Acceptance of Terms

FlexUp is a project owned and developed by Cosys S.C., a company incorporated in France and registered with Registry of Businesses and Companies of Paris under the number 519 072 417 ("FlexUp").

By accessing the FlexUp website (www.flexup.org) or using the FlexUp app (www.flexup.app), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of the terms and conditions of these Terms, do not use or access the FlexUp app or website.

2. Description of Service

The FlexUp app is currently in the development and testing phase. As such, the app is provided for free "as is" without any warranties or guarantees. FlexUp reserves the right to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice.

3. Account Termination and Data Deletion

FlexUp reserves the right to block someone's account and delete all its data at any time if it considers that the user is making an inappropriate use of this app.

4. FlexUp Licence - Limited Use

Users are allowed to use this app for free for their own personal use, or to manage their own projects or business ("Limited Use").

5. FlexUp Licence - Extended Use

Users who wish to use any material provided by FlexUp or the FlexUp app to provide professional services to third parties, such as advising people on starting or managing their business ("Extended Use") with the FlexUp economic model or with the FlexUp app must obtain an "Extended Licence" from FlexUp. Please refer to the FlexUp Licence for more details.

6. Trademark Use

The FlexUp name and logo are protected by trademark. You are allowed, and encouraged, to display the FlexUp app and logo on your website and other communication material for your Own Use. For Professional Use, you can only use the FlexUp name or logo if you have a Professional User Licence.

7. Fair Use

In exchange for being able to use the FlexUp app for free, you are requested to support the development of FlexUp by:

  • Communicating about the fact that you use FlexUp.
  • Providing feedback.
  • Flagging any bugs.
  • Flagging misconduct by other users.
  • Participating in user surveys.

8.   No Warranties or Representations

As the FlexUp app is in the development phase, FlexUp expressly disclaims all warranties of any kind, whether express or implied. Specifically, FlexUp makes no warranty that:

  • The app will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
  • The quality of any products, services, information, or other material purchased or obtained by you through the app will meet your expectations.
  • The app's functionality will be error-free or that defects will be corrected.
  • Adequate privacy and security measures are in place.

9. Use at Your Own Risk

You expressly understand and agree that your use of the FlexUp app is at your sole risk. Any material downloaded or otherwise obtained through the use of the service is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

10. Transactions and Payments

Transactions made within the FlexUp app are not legally binding. Any binding agreements must be done offline. The app does not manage payments, so all transactions and subsequent payments must be conducted via other means. You are responsible for keeping copies of any transactions recorded in this app.

11. No Professional Advice

FlexUp is not a law firm, not an accounting firm and not a financial advisory firm. FlexUp does not provide registered or regulated professional services of any kind. Users should seek professional advice from lawyers, accountants, tax advisors, etc., for any legal, financial, or tax-related decisions.

12. Compliance with Local Regulations

You acknowledge that the FlexUp app has not been designed to meet all local regulations in France or any other country. It is your responsibility to ensure that your use of the app complies with all applicable laws and regulations in your jurisdiction.

13. Limitation of Liability

In no event will FlexUp be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if FlexUp has been advised of the possibility of such damages), resulting from the use or the inability to use the service.

14.  Indemnification

You agree to indemnify and hold FlexUp and its affiliates, officers, agents, employees, and partners harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the FlexUp app, your violation of the Terms, or your violation of any rights of another.

15. General Information

These Terms constitute the entire agreement between you and FlexUp and govern your use of the FlexUp app, superseding any prior agreements between you and FlexUp. The failure of FlexUp to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

16. Changes to these Terms of Use

FlexUp reserves the right to update these Terms of Use at any time. We will notify you of any changes by posting the new Terms of Use on this page. You are advised to review this Terms of Use periodically for any changes.
